Who Really Owns the Family Business?

In complex family litigation, parties often disagree not only about who operated a business, but who legally owned it.

Henderson & Lee Law Corporation wishes to share the decision in Wang v. Mitchell, 2024 BCSC 988. In that case, the Supreme Court of British Columbia was required to assess competing claims involving Chinese manufacturing companies, import-export businesses, food truck operations, and investment ventures spanning multiple countries.

Operation, Assistance, and Ownership

The respondent argued that he played a major operational role in several businesses connected to the claimant's family, and claimed that those businesses formed part of the family property subject to division. He provided evidence that he managed export relationships, operated Alibaba accounts, controlled certain bank accounts, developed customer relationships, and participated in manufacturing and food truck ventures.

However, the Court carefully distinguished between operating a business, assisting a business, and legally owning a business.

Objective Evidence Matters

At trial, counsel for the claimant provided objective evidence, including corporate records, share ownership documents, banking records, evidence of financial control, legal registrations, accounting evidence, and credible witness testimony.

After carefully assessing the evidence, the Court ultimately found that many of the Chinese companies and properties remained solely owned and controlled by the claimant's mother, despite the respondent's involvement in some operational activities.

The Court also rejected the suggestion that contributing labour, ideas, or business assistance automatically creates ownership rights in family property litigation.
